1. Retainer and Payment. The Client shall not remit a retainer to the Photographer. All payments shall be made by the students on a per-transaction basis to the Photographer. *

2. Relay of Information. It shall be the Client’s responsibility to relay all information to the students. This information includes but is not limited to the original and make-up photography dates to the students. *

3. Photography Scheduling. The Client shall make arrangements for the interruption of school day for each class during the herein scheduled photography events. The Photographer shall not be held responsible for impacted class times due to the photography scheduling. *

4. Make-up Day Scheduling. The Photographer will provide one scheduled re-take day for the students who have missed the original photography date upon request from the Client. A date will be agreed upon after the original photography date. *

5. Class Photographs. Upon prior request, the photographer will take a group photograph for each class in attendance, including appropriate staff, on the originally scheduled photography event date. This must be scheduled in advance so the Photographer can prepare. *

6. Online Gallery. The Photographer shall make previews available through a private online gallery proofing website. These proofs shall be available to the students and Client within 14 days of the photography event.
The gallery shall remain open for 2 weeks from delivery. If the Client requests to extend the time or reopen the online proofing gallery, a un-archival fee shall apply. *

7. Orders
• There is a $25 minimum order per student.
• No products, including digital images, will be released until paid for in full.
• Purchased digital images will be delivered electronically directly to the person placing the order within 5 business days of the order being placed and paid for.
• Prints purchased will be delivered directly to the Client for them to distribute to the students in approximately 2 weeks. Third-party laboratories are utilized for prints and may require delays.
• The prices stated in the galleries are based on the Photographer’s Standard Price List. This price list is adjusted periodically and future orders shall be charged prices in effect at the time when the order is placed. *

8. Artistic Rights. The Photographer retains the right of discretion in selecting the photographic images released to the client. *

9. Copyright and Reproductions. All images are property of the Photographer. It is illegal to copy, screenshot, download, or print images from your gallery or scan printed images without permission. It is also unlawful to edit or alter purchased digital images in any way besides cropping. Images from your session may not be used in any form other than private usage without express written permission from the copyright owner, Simply Corey Photography.
All images produced during the photography event are the property and copyright of the Photographer. The Photographer reserves the right to use them to promote Simply Corey Photography including, but not limited to, blog entries, website galleries, social media posts, and/or any other advertising purposes. All images are treated with the utmost respect. *

10. Photographs/Videography. The Client shall not engage in photography or videography during the course of the photography event unless otherwise agreed to by the Photographer. *

11. Failure to Perform. If the Photographer is unable to perform this agreement due to illness, emergency, fire, casualty, strike, act of God, or causes beyond the control of the Photographer, the Photographer and Client shall make every attempt to reschedule the photography event. Further, if the Photographer is unable to deliver photographic materials due to technological malfunctions, including but not limited to camera and processing, or otherwise lost or damaged without fault of the Photographer, liability shall be limited. *

12. Indemnification. The Photographer shall be held harmless for any and all injury to the Client or students during the course of the photography event and the immediately surrounding events. Client warrants that they have actual authority to agree to the use of the likeness of all persons photographed and shall indemnify and defend Photographer in the event of litigation related to the production or use of such images. *

13. Termination for Convenience. This Agreement may be terminated by the Client at any time and without cause with 24 hours written notice to the Photographer. *

14. Miscellany. This Agreement incorporates the entire understanding of the parties. Any modifications of this Agreement must be in writing and signed by both parties. This Agreement shall be governed by the laws of the State of Georgia. *
